1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Octacer Portal ("Portal", "Service") provided by Octacer ("we", "us", or "our"). By accessing or using the Portal, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Portal.

2. Eligibility

The Octacer Portal is intended for use by:

• Employees: Current employees of Octacer with valid employment contracts
• Contractors: Independent contractors or consultants engaged by Octacer
• Clients: Organizations or individuals with active service agreements with Octacer
• Vendors: Third-party service providers or suppliers working with Octacer

You must be at least 18 years old to use the Portal. By using the Portal, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

You may register for an account using your email address or through third-party authentication services (Google OAuth, WhatsApp verification). You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Use only one account per user
• Not share your account credentials with others

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

4. Permitted Use

You may use the Portal for the following purposes:

• Employees: Attendance tracking, leave requests, overtime submissions, salary information, KPI tracking, goal management, profile updates
• Contractors: Time tracking, invoice submission, project collaboration, resource access
• Clients: Project monitoring, communication, document sharing, feedback submission
• Vendors: Order management, invoice submission, communication, compliance documentation
• Managers/HR: Team management, approvals, reporting, employee management
• Finance: Payroll processing, salary generation, transaction management
• Sales: Lead management, proposal generation, analytics

5. Prohibited Activities

You agree NOT to:

• Use the Portal for any unlawful purpose or in violation of these Terms
• Access data or areas of the Portal that you are not authorized to access
• Attempt to bypass security measures or exploit vulnerabilities
• Reverse engineer, decompile, or disassemble any part of the Portal
• Upload viruses, malware, or malicious code
• Scrape, crawl, or harvest data from the Portal using automated tools
• Impersonate another user or provide false information
• Interfere with or disrupt the Portal's operation or servers
• Use the Portal to send spam, phishing attempts, or unsolicited communications
• Share proprietary or confidential information without authorization

6. Intellectual Property Rights

6.1 Ownership

All content, features, and functionality of the Portal (including but not limited to text, graphics, logos, icons, images, software, and design) are owned by Octacer or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

By uploading files, documents, or other content to the Portal, you grant Octacer a non-exclusive, worldwide, royalty-free license to use, store, and process such content solely for the purpose of providing the Service.

7. Data and Privacy

Your use of the Portal is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Portal, you consent to the data practices described in the Privacy Policy.

8. Third-Party Services and Integrations

The Portal integrates with third-party services, including:

• Google Drive (file storage)
• Google OAuth (authentication)
• WhatsApp API (notifications)
• Jira/Atlassian (project management)
• DeepSeek AI (AI-powered features)
• n8n (email automation)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of these third-party services.

9. Service Availability and Modifications

9.1 Availability

We strive to provide uninterrupted access to the Portal but do not guarantee that the Service will be available 24/7 or error-free. We may perform maintenance, updates, or upgrades that temporarily disrupt access.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Portal at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

10. Termination

10.1 By You

You may stop using the Portal at any time. For employees, account access will be terminated upon employment termination.

10.2 By Us

We may suspend or terminate your access to the Portal immediately, without prior notice, if:

• You violate these Terms
• Your employment, contract, or service agreement with Octacer ends
• We suspect fraudulent, abusive, or illegal activity
• Required by law or regulatory authority

10.3 Effect of Termination

Upon termination, your right to access the Portal will cease immediately. We may delete your account data in accordance with our data retention policies.

11. Disclaimers and Limitation of Liability

11.1 "AS IS" Disclaimer

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTACER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Portal
• Unauthorized access to or alteration of your data
• Third-party conduct or content on the Portal
• Any other matter relating to the Portal

12. Indemnification

You agree to indemnify, defend, and hold harmless Octacer, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:

• Your use or misuse of the Portal
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Portal shall be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with the laws of Pakistan.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Portal after changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Octacer regarding the use of the Portal and supersede all prior agreements and understandings.
